Charters and Bylaws. (a) Subject to compliance with applicable laws, rules and regulations, the Company shall take or cause to be taken all lawful action necessary to ensure that, at all times during the Qualifying Ownership Period, Articles of Incorporation of the Company, as amended, and the Bylaws of the Company, as amended from time to time (the “Bylaws”) are not inconsistent with the provisions of this Agreement. (b) The Company’s Articles of Incorporation and Bylaws shall continue to allow attendance at meetings of the Board of Directors and the Committees of the Board of Directors through telephone conference or video conference.
