Common use of Choice of Law; Waiver of Jury Trial; Limitation of Action Clause in Contracts

Choice of Law; Waiver of Jury Trial; Limitation of Action. This Agreement and the performance under this Agreement will be governed by the laws of the State of Delaware U.S.A. (but not including the choice of law rules thereof). The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties expressly waive any right to a jury trial regarding disputes related to this Agreement.

Choice of Law; Waiver of Jury Trial; Limitation of Action. This Agreement and the performance under this Agreement will be governed by the laws of the State of Delaware U.S.A. (but not including the choice of law rules thereof). In addition, all disputes arising under or in connection with this Agreement shall exclusively be resolved in any state or federal court in the State of Delaware, USA, and Auditee agrees, solely for purposes of this Agreement, to submit to the personal jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties expressly waive any right to a jury trial regarding disputes related to this Agreement.
