CID Fund/CID Proceeds. During the existence of the CID, the resulting revenue from the imposition of the CID Sales Tax shall be collected and deposited into separate fund (the “CID Fund”), which shall be established and administered by the UG in compliance with this Agreement and all Applicable Laws and Requirements. Following the payment of the CID Administrative Fee (as defined below), the proceeds of CID Sales Tax in the CID Fund (the “CID Proceeds”) shall be used to pay or reimburse Developer for the CID Eligible Expenses, subject to the limitations in the CID Act.
