CIRCUMSTANCES BEYOND YOUR CONTROL. 20.1 Any Party affected by a Force Majeure Event is excused from performing its obligations under the Contract while the inability to perform continues, if it both: 20.1.1 provides written notice to the other Party; and 20.1.2 uses all reasonable measures practical to reduce the impact of the Force Majeure Event. 20.2 Any failure or delay by the Supplier to perform its obligations under the Contract that is due to a failure or delay by an agent, Subcontractor and/or Supplier Staff will only be considered a Force Majeure Event if that third party is itself prevented from complying with an obligation to the Supplier due to a Force Majeure Event. 20.3 Either Party can partially or fully terminate the Contract if the provision of the Deliverables is materially affected by a Force Majeure Event which lasts for 90 days continuously and the consequences of termination in Clauses 11.5.1.2 to 11.5.1.7 shall apply. 20.4 Where a Party terminates under clause 20.3: 20.4.1 each Party must cover its own losses; and 20.4.2 clauses 11.5.1.2 to 11.5.1.7 apply.
