Common use of Claim from Third Party Clause in Contracts

Claim from Third Party. In the event that a party learns of any claim of or alleged claim from a third party of infringement or threatened infringement of, or related to the Licensed Intellectual Property that the party in good faith believes will impair the rights to the Licensed Intellectual Property, the party with knowledge thereof shall notify the other party within thirty (30) days of such third party claim. The parties shall engage in good faith to determine a mutually acceptable response to the claim. Provided the parties mutually agree to proceed, litigation or management of the third party claim shall be according to Section 8.1(c).
