There is no claim, legal action, counterclaim, suit, arbitration, governmental investigation, or other legal, administrative, or tax proceeding, nor any order, decree, or judgment, in progress or pending, or, to the best knowledge of the Company, threatened, against or relating to the Company, the Limited Partner's interests, the Assets, or the business of the Company, nor does the Company know or have reason to be aware of any basis for the same.
