CLAIMS & DISPUTE RESOLUTION. (a) If a dispute arises under this Purchase Order, either Party may provide written notice of a dispute to the other party. (b) Such a dispute will be resolved in accordance with the following: (i) within 2 Business Days of the receipt of the notice, senior management representatives of the Vendor and the Purchaser shall meet with the intent of resolving the dispute; and (ii) if the dispute is not resolved within 4 Business Days of the receipt of the notice, or such additional agreed period, the parties may seek a non-binding independent opinion to assist in achieving the resolution of the dispute. (c) Without limiting clause 12.2, if the dispute is not resolved within 7 Business Days of receipt of the notice, or such additional agreed period, the Purchaser may terminate this Purchase Order in accordance with clause 12.2 and may appoint a replacement contractor to supply the Goods or goods in replacement for the Goods or to perform the Services or services in replacement for the Services. (d) This clause will not derogate from the right of either party to refer the matter to litigation. (e) If the Purchaser does not exercise its right to terminate under clause 22(c) then the parties shall continue to perform their obligations under the Purchase Order notwithstanding the existence of a dispute.
