Claims Expenses; Legal Fees and Expenses of Executive. The Company shall advance and bear all reasonable expenses of any arbitration conducted under this Section 9 and all reasonable legal fees and expenses incurred by Claimant in pursuing a claim at and through any stage of review or dispute resolution pursuant to this Section 9; provided, however, that if it is finally determined that the Claimant did not pursue the claim or commence the arbitration in good faith and had no reasonable basis therefore, the Claimant shall repay all of Claimant's legal fees and expenses advanced by the Company and shall reimburse the Company for its reasonable legal fees and expenses in connection therewith (except that, in any event, the Company shall be responsible for payment of the forum costs of any arbitration hereunder, including the arbitrator's fee).
