Claims for Direct Damages. (a) The Incubatee shall indemnify the Incubator and Incubator’s Partners against, and shall be liable for, direct damage to property and equipment to the extent that such damage is caused by the negligence of the Incubatee and of its employees or agents; (b) The Incubator and the Incubator’s Partners shall indemnify the Incubatee against, and shall be liable for, direct damage to the Incubatee's property and equipment to the extent that such damage is caused by the negligence of the Incubator, the Incubator’s Partners or of their employees (staff) or agents.
