Common use of Clarification of Termination Terms Clause in Contracts

Clarification of Termination Terms. The Contractor will need to be mindful of the fact that the NHS Institute is currently going through a transitional period of organisational change which may result in a change to the status or operational need of the NHS Institute and which may mean that the services of Xxxxxxx Xxxxxx Xxxx are no longer required, or required on a reduced basis. Therefore this Contract is agreed on the proviso that should the NHS Institute be closed down or restructured in a way that obviates the need for a business development service then the NHS Institute can terminate the contract or scale down the service. Should a reduction of service be required, both parties will then negotiate a reasonable reduction in cost. Schedule C: Administrative Information
