Common use of Class A Member Voting Rights Clause in Contracts

Class A Member Voting Rights. A Class A Member is entitled to one (1) vote for each Class A Unit held by the Member; provided, however, that a Class A Member’s number of votes is at all times capped at five percent (5%) of the outstanding Class A Units. Cumulative voting of the votes for Class A Units is not permitted. A Member of any other Class will be entitled to any additional voting rights as may be stipulated in the designations governing other Classes of Units held.
