Common use of Class A Notes Beneficially Owned by Non-Permitted Holders Clause in Contracts

Class A Notes Beneficially Owned by Non-Permitted Holders. Notwithstanding anything to the contrary elsewhere in this Indenture, any transfer of a beneficial interest in any Class A Notes to a Person that is not both a Qualified Institutional Buyer and a Qualified Purchaser shall be null and void ab initio and any such purported transfer of which the Issuer or the Trustee shall have notice may be disregarded by the Issuer and the Trustee for all purposes.
