Class B Exchange. (a) Upon any exchange of Class B Shares and a corresponding number of Tallgrass Equity Units for Class A Shares pursuant to this Agreement and the Tallgrass Equity LLC Agreement (an “Exchange”), the Partnership shall issue to the exchanging holder of such Class B Shares a number of Class A Shares equal to the number of Class B Shares exchanged.
