Class C Common Units. The Class C Common Units have no voting, consent, approval or similar rights whatsoever under the Agreement, except as required by applicable law.
Class C Common Units. On the Class C Common Measuring Date, the number of Class C Common Units issued to Bresnan Holders will be the number of Class C Common Units determined in accordance with the formula contained in Exhibit I of the Bresnan Purchase Agreement. In accordance with such formula, after the Class C Common Measuring Date, the Company may issue additional Class C Common Units to Bresnan Holders and their transferees, or Bresnan Holders and their transferees may surrender to the Company a certain number of Class C Common Units issued on the Class C Common Measuring Date. The Manager shall make such adjustments as it deems necessary or appropriate so that Bresnan Holders and their transferees are treated as having received the appropriate number of Class C Common Units on the Class C Common Measuring Date.
Class C Common Units. Class C Common Units may be Transferred to the Bresnan Permitted Transferees, and Class C Common Units with respect to which any option pursuant to the Bresnan Put Agreement or the Bresnan-TCI Put Agreement has been exercised and Paul X. Xxxxx xx the Company has breached its purchase obligations under such put agreements may be Transferred to any transferee; provided, however, that (i) each such transferee must agree to be bound by the terms of this Agreement and other applicable equity documents (including the Bresnan Exchange Agreement), (ii) each such transferee must represent that it is an accredited investor and give such other investment representations and other undertakings as are customarily given by Persons acquiring securities in a private placement, and (iii) the Transfer to such transferee must be effected pursuant to an exemption from registration under applicable securities laws.
Class C Common Units. The Company hereby authorizes the issuance of an unlimited number of Class C Common Units, which it may issue in one or more Series, 15,636,364 of which are outstanding on the date hereof, as set forth on Schedule B. The initial three Series of Class C Common Units are (i) Class C-1 Common Units, 5,212,121 of which are outstanding on the date hereof, (ii) Class C-2 Common Units, 5,212,122 of which are outstanding on the date hereof, and (iii) Class C-3 Common Units, 5,212,121 of which are outstanding on the date hereof.
Class C Common Units. Upon the terms and subject to the conditions of this Agreement, at the Effective Time, by virtue of the Merger and without any action on the part of the holders thereof:
Class C Common Units. All of the authorized Class C Common Units were issued to Radio One on the Effective Date as consideration for the services to be rendered by Radio One, Inc. to the Network under the Radio One Agreements. Such Class C Common Units shall be treated as profits interests in the Network and, accordingly, no Capital Contribution or Capital Commitment was or is required in exchange for such Units.
Class C Common Units. The Company hereby authorizes the issuance of an unlimited number of Class C Common Units, none of which are outstanding on the date hereof.
Class C Common Units. As of the Effective Date, the aggregate number of Class C Common Units issued to the Bresnan Holders is Fourteen Million Seven Hundred Ninety-Five Thousand Nine Hundred Ninety-Five (14,795,995). In accordance with Paragraphs E and F of Exhibit I of the Bresnan Purchase Agreement, (i) the Company may issue additional Class C Common Units to the Bresnan Holders and their transferees or (ii) the Bresnan Holders and their transferees may surrender to the Company some of the Class C Common Units issued on the Class C Common Measuring Date. The Manager shall make such adjustments as it deems necessary or appropriate so that Bresnan Holders and their transferees are treated as having received all of the Class C Common Units required to -21- 23 be issued pursuant to the Bresnan Purchase Agreement on the Class C Common Measuring Date.
Class C Common Units. As of the Effective Date, the aggregate number of Class C Common Units issued to the Bresnan Holders is Fourteen Million Eight Hundred Thirty-One Thousand Five Hundred Fifty-Two (14,831,552).
Class C Common Units. The Company and Members shall take such steps as necessary to exchange or convert the Class C Common Units for or into a proportionate number of shares of voting common stock or other voting common equity interests of the IPO Entity.
