Clauses Surviving Termination. The duties and obligations of the Representative and the terms or conditions of this agreement which are capable of being performed or taking effect after the termination of this agreement will remain in full force and effect and continue to be binding on the Representative, including clauses 4.4, 4.7, 5.12, 5.13, 9, 10, 11.2, 11.3, 13, 14, 15 and 26, despite termination.
Clauses Surviving Termination. 6.1 Any confidentiality and non-solicitation clauses in Article VI of this Agreement shall survive the termination of this Agreement, as shall Sections 3.6 and 4.2 hereof.
Clauses Surviving Termination. Any indemnification, ownership and confidentiality provisions in this Agreement shall survive any termination of this Agreement.
Clauses Surviving Termination. 35.1 All provisions of this Contract, whether express or implied, which:
(a) are expressed to survive expiry or termination of this Contract;
(b) by their nature ought to survive expiry or termination of this Contract;
(c) are ancillary to the main purpose of the Contract;
(d) regulate a defaulting Party’s obligation to pay compensation to the other Party; and
(e) give effect to the provisions of this clause, survive expiry or termination of this Contract and are enforceable at any time at law.
Clauses Surviving Termination. The obligations of the Corporate Authorised Representative and provisions of this agreement which are capable of being performed or taking effect after the termination of this agreement will remain in full force and effect and be binding on the Corporate Authorised Representative, including but not limited to clauses 6.12, 6.13, 9, 10, 11.2, 11.3 13, 14 and 15, notwithstanding termination.
Clauses Surviving Termination. 24.1 The following clauses will survive termination or expiration of this Agreement:
(a) clause 10: Intellectual Property;
(b) clause 10: Confidential Information;
(c) clause 12: Personal Information;
(d) clause 16: Release and Indemnity;
(e) clause 16.7: Insurances; and
(f) clause 23.9: Further Assurances.
Clauses Surviving Termination. Notwithstanding termination of this agreement for any reasons, section 15.8 and Articles 6, 7, 8, 9 and 14 shall remain in full force and effect.
Clauses Surviving Termination. Despite any other provision of this Agreement, this clause 24 and clauses 1, 17, 18, 19, 20, 25 and 26 survive the expiry or termination of this Agreement.
Clauses Surviving Termination. Despite any other provision of this Agreement, unless the Shareholders otherwise agree unanimously in writing CLAUSES 1 (Interpretation), 2.8 (Restraint), 7.3 (Indemnity), 14 (Termination), 15 (Dispute Resolution), 16 (Confidentiality), 19 (Indemnification) and 20 (General) survive the termination of this Agreement.
Clauses Surviving Termination. Despite any other provision of this agreement, clauses 14, 20 and 21 and this clause 18.4:
(a) survive the expiry or termination of this agreement;
(b) survive the termination of the rights and obligations of a party under this agreement, however caused; and
