Common use of Clearing Systems Clause in Contracts

Clearing Systems. In delivering any Global Note in accordance with sub-clause 3.4(a) of Clause 3.4, the Issuing and Principal Paying Agent shall give instructions to the relevant clearing system to hold the Notes represented by it to the order of the Issuing and Principal Paying Agent pending transfer to the securities account(s) referred to in sub-clause 3.4(a) of Clause 3.4. Upon payment for any such Notes being made to the Issuing and Principal Paying Agent, it shall transfer such payment to the account of the Issuer notified to it by the Issuer. For so long as any such Note continues to be held to the order of the Issuing and Principal Paying Agent, the Issuing and Principal Paying Agent shall hold such Note to the order of the Issuer.

Upon payment for any such Notes being made to the Issuing and Principal Paying Agent, it shall transfer such payment to the account of the Issuer notified to it by the Issuer. For so long as any such Note continues to be held to the order of the Issuing and Principal Paying Agent, the Issuing and Principal Paying Agent shall hold such Note to the order of the Issuer.
