Common use of CLEC Certification Clause in Contracts

CLEC Certification. 1.1 Syniverse agrees to provide AT&T in writing Syniverse’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. Additionally, Syniverse shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse may not purchase services hereunder in that state. Syniverse will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 7. 1.3 Should Syniverse’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Syniverse Global Connection agrees to provide AT&T in writing SyniverseGlobal Connection’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. Additionally, Syniverse Global Connection shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Global Connection is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Global Connection may not purchase services hereunder in that state. Syniverse Global Connection will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Global Connection may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseGlobal Connection’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Global Connection shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Universal Telecom, Inc shall provide to AT&T an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Universal Telecom, Inc is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse may Universal Telecom, Incmay not purchase services hereunder in that state. Syniverse will Universal Telecom,cInwill notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or stateor equivalent authority for, any other state covered by this Agreement. Upon receipt thereoftherfe, AT&T AoT&T will file this Agreement in that state, and Syniverse may Universal Telecom, Incmay purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseUniversal Telecom, Inc’s certification in any state be rescinded or otherwise terminated, AT&T mayAT&Tmay, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may AT&Tmay refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Universal Telecom, Inc shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Syniverse National Telecom shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse National Telecom is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse National Telecom may not purchase services hereunder in that state. Syniverse National Telecom will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse National Telecom may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseNational Telecom’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse National Telecom shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Syniverse Talk for Less agrees to provide AT&T in writing SyniverseTalk for Less’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. Additionally, Syniverse Talk for Less shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Talk for Less is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Talk for Less may not purchase services hereunder in that state. Syniverse Talk for Less will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Talk for Less may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseTalk for Less’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Talk for Less shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Express Paging shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Express Paging is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Express Paging may not purchase services hereunder in that state. Syniverse Express Paging will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Express Paging may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseExpress Paging’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Express Paging shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Syniverse TrustedNet agrees to provide AT&T in writing SyniverseTrustedNet’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. Additionally, Syniverse TrustedNet shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse TrustedNet is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse TrustedNet may not purchase services hereunder in that state. Syniverse TrustedNet will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse TrustedNet may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseTrustedNet’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse TrustedNet shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Syniverse MTG shall provide to AT&T an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse MTG is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse may MTGmay not purchase services hereunder ehuernder in that state. Syniverse will .MTGwill notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or stateor equivalent authority for, any other state covered by this AgreementAegerment. Upon receipt thereoftherefo, AT&T will file this Agreement in that state, and Syniverse MTG may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseMTG’s certification in any state be rescinded or otherwise terminated, AT&T mayAT&Tmay, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may AT&Tmay refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse MTG shall provide an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Phone Home shall provide to AT&T an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Phone Home is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Phone Home may not purchase services hereunder in that state. Syniverse Phone Home will notify AT&T in writing and provide CLEC CELC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or stateor equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will AT&Twill file this Agreement in that tinhat state, and Syniverse Phone Home may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniversePhone Home’s certification in any state be rescinded or otherwise terminated, AT&T mayAT&Tmay, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may AT&Tmay refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Phone Home shall provide an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Premier shall provide to AT&T an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Premier is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Premier may not purchase services hereunder servicheesreunder in that state. Syniverse .Premier will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or stateor equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that inht at state, and Syniverse Premier may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniversePremier’s certification in any state be rescinded or otherwise terminated, AT&T mayAT&Tmay, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may AT&Tmay refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Premier shall provide an effective certification to do business issued by the secretary of state or stateor equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Flatphone shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Flatphone is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Flatphone may not purchase services hereunder in that state. Syniverse Flatphone will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Flatphone may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseFlatphone’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Flatphone shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Syniverse Serenity agrees to provide AT&T in writing SyniverseSerenity’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. Additionally, Syniverse Serenity shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Serenity is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Serenity may not purchase services hereunder in that state. Syniverse Serenity will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Serenity may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseSerenity’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Serenity shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Home Phone Services shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Home Phone Services is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Home Phone Services may not purchase services hereunder in that state. Syniverse Home Phone Services will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Home Phone Services may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniverseHome Phone Services’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Home Phone Services shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Syniverse Phone Club Corporation shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse Phone Club Corporation is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse Phone Club Corporation may not purchase services hereunder in that state. Syniverse Phone Club Corporation will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse Phone Club Corporation may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 73. 1.3 Should SyniversePhone Club Corporation’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse Phone Club Corporation shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Syniverse 2.1 Prior to execution of this Agreement, Granite agrees to provide AT&T AT&T-9STATE in writing SyniverseGranite’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approvalKentucky. Additionally, Syniverse shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse may not purchase services hereunder in that state. Syniverse will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 7. 1.3 Should SyniverseGranite’s certification in any state be rescinded or otherwise terminated, AT&T AT&T-9STATE may, at its electionelection upon fifteen (15) days notice, suspend the Agreement in state affected immediately whereupon (1) all monies owed on all outstanding invoices for that state shall become due, (2) AT&T-9STATE will begin the process of discontinuing Services provided in such state pursuant to this Agreement in accordance with applicable state laws and regulations, and (3) AT&T-9STATE shall refuse to provide Services hereunder in that state until certification is reinstated in that state. Should Granite’s certification in all states be rescinded or otherwise terminated, AT&T-9STATE will begin to terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state the states shall become due, or AT&T may and AT&T-9STATE shall refuse to provide services Services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration each of the term of this Agreementstates. Syniverse Granite shall provide an effective certification to do business business, as issued by the secretary Secretary of state State, or equivalent authority authority, in each state covered by this Agreement. 2.2 To the extent Granite is not certified as a CLEC in any state covered by this Agreement as of the execution hereof, Granite may not purchase Services under this Agreement in that state. Granite will notify AT&T-9STATE in writing and provide CLEC certification when it becomes certified to operate in any other state covered by this Agreement and, upon receipt thereof, Granite may thereafter purchase Services pursuant to this Agreement in that state.
