Common use of CLEC Certification Clause in Contracts

CLEC Certification. 1.1 Excel PCHP agrees to provide BellSouth in writing Excel PCHP’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to BellSouth filing this Agreement with the appropriate Commission for approval. Additionally, Excel PCHP shall provide to BellSouth an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Excel PCHP is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Excel PCHP may not purchase services hereunder in that state. Excel PCHP will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 3. 1.3 Should Excel PCHP’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Excel PCHP ComSouth shall provide to BellSouth an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Excel PCHP ComSouth is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Excel PCHP ComSouth may not purchase services hereunder in that state. Excel PCHP ComSouth will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP ComSouth may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 37. 1.3 Should Excel PCHPComSouth’s Commission/CLEC certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until Commission/CLEC certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP Additionally, once Commission//CLEC certification is reinstated, ComSouth shall again provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Excel PCHP Express Phone will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP Express Phone may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 3. 1.3 Should Excel PCHPExpress Phone’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP Telephone One will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Excel PCHP FPB will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP FPB may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 37. 1.3 Should Excel PCHPFPB’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP FPB shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP Home Phone may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 3. 1.3 Should Excel PCHPHome Phone’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP Home Phone shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Excel PCHP CTI will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP CTI may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 3. 1.3 Should Excel PCHPCTI’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP CTI shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Excel PCHP Additionally, once Commission//CLEC certification is reinstated, ComSouth shall again provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Excel PCHP RGW will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP RGW may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 37. 1.3 Should Excel PCHPRGW’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP RGW shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Excel PCHP Title Pawn shall provide to BellSouth an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Excel PCHP Title Pawn is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Excel PCHP Title Pawn may not purchase services hereunder in that state. Excel PCHP Title Pawn will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP Title Pawn may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 37. 1.3 Should Excel PCHPTitle Pawn’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP Title Pawn shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Excel PCHP FamilyTel shall provide to BellSouth an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Excel PCHP FamilyTel is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Excel PCHP FamilyTel may not purchase services hereunder in that state. Excel PCHP FamilyTel will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP FamilyTel may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 37. 1.3 Should Excel PCHPFamilyTel’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately in such state and all monies owed on all outstanding invoices for services provided in that such state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP FamilyTel shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

Additionally, Excel PCHP Network PTS shall provide to BellSouth an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Excel PCHP Network PTS is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Excel PCHP Network PTS may not purchase services hereunder in that state. Excel PCHP Network PTS will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and Excel PCHP Network PTS may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 3. 1.3 Should Excel PCHPNetwork PTS’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Excel PCHP Network PTS shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.
