Clinical Content. Company warrants and represents that any information and data in the Software relating to clinical decision support or coding for billing purposes (“Clinical Content”) has been developed using due care based on information from reliable sources and have been developed or provided by individuals holding an appropriate unlimited license to practice the relevant profession in the state within the United States of America in which such clinician is a resident. Company further warrants and represents that Clinical Content and parameters are consistent, at the time of programming, with then-current standards of practice, and will be updated appropriately.

EXHIBIT C HOSTING SERVICES If there is a conflict between the terms of the Agreement and the terms of this Hosting Exhibit, the terms of this Hosting Exhibit shall control.
Clinical Content. (a) WellPoint shall provide clinical content to ▇▇▇▇▇▇▇▇▇.▇▇▇ pursuant to its obligations contained in this Agreement. WellPoint shall not provide any clinical content to any other Internet Pharmacy or allow any other Internet Pharmacy to use or display any WellPoint clinical content during the term of this Agreement. All clinical content made available only to WellPoint Members under the terms of this Agreement shall be subject to WellPoint's prior approval and its peer review procedures. (b) WellPoint shall not knowingly publish on the WellPoint Site, and ▇▇▇▇▇▇▇▇▇.▇▇▇ shall not knowingly publish on the ▇▇▇▇▇▇▇▇▇.▇▇▇ Site, any content, including Links, that is contrary to law or false or misleading in any material respect, that promotes products generally acknowledged to be injurious to good health (e.g., cigarettes and other smoking products, alcoholic beverages) or that would reasonably be expected to be offensive to a reasonable person. Any content that either party reasonably determines to be contrary to law or false or misleading in any material respect shall be removed, upon notice from the determining party, as soon as practicable by the offending party. After such removal, the parties may bring the dispute for immediate resolution pursuant to Section 13 of this Agreement. (c) WellPoint shall have final approval regarding any representations made relating to the quality of WellPoint services. ▇▇▇▇▇▇▇▇▇.▇▇▇ shall have final approval regarding any representations made relating to the quality of ▇▇▇▇▇▇▇▇▇.▇▇▇ services.
Clinical Content. As our customer, you will have access to a library of clinical content such as order sets, questionnaires, templates, protocols, and best practice sets sourced from a variety of medical professionals, including our other customers, which we assembled for you to use with the Canvas Platform at no additional charge. Clinical content that we provide to you is a part of the Canvas Platform, and we retain all rights, title and interest to such clinical content, according to the terms of this Agreement that apply to the Canvas Platform generally. By using the Canvas Platform, you will also be given tools to create or load your own clinical content. Clinical content that you create while using the Canvas Platform is Your Content, provided however that under no circumstances will your use of the Canvas Platform to create or load clinical content create any right, title or interest in or to any component of the Canvas Platform. You agree not to load third-party proprietary content into the Canvas Platform without permission to do so from the third-party licensor. You are responsible for making a copy of and deleting any clinical content that you create before terminating your use of the Canvas Platform.
Clinical Content. As a Healthfinch customer, you will have access to a library of clinical content such as protocols and best practice sets sourced from a variety of medical professionals, including other Healthfinch customers, which Healthfinch has assembled for you to use with ▇▇▇▇▇▇▇ at no additional charge. In return for this access, you agree to provide Healthfinch on request with clinical content you create for use with ▇▇▇▇▇▇▇, solely for access and use by Healthfinch and its other customers, and waive copyrights and other proprietary rights you may have in such materials as to Healthfinch and its customers, their affiliates, and end users.
