Common use of Closed-End Administrative Agent’s Disclaimer Clause in Contracts

Closed-End Administrative Agent’s Disclaimer. The Closed-End Administrative Agent will not be (a) responsible for, and does not make any representation as to, the validity or adequacy of this Collateral Agency Agreement, any Exchange Note Supplement or any of the Closed-End Exchange Notes, (b) accountable for the Borrower’s use of the funds advanced under the Warehouse Facilities, or (c) responsible for any statement of the Borrower in this Collateral Agency Agreement or any other Basic Document (all of which will be deemed to be statements of the Borrower) other than the certificate of authentication of the Closed-End Administrative Agent.
