Closing and Closing Acts. The Parties undertake to (a) on the last Business Day of the month in which all Conditions Precedent are met and/or waived (as applicable), or on the last Business Day of the month following such finding or waiver, if this occurs after the twentieth (20th) day of the month, or (b) on another date that may be agreed upon in advance by the Parties in writing (the “Closing Date”), appear at a place and time to be mutually agreed upon by the Parties and perform the following acts (the “Closing Acts”), which shall be deemed to have occurred simultaneously (the “Closing”):
