CLOSING; CERTAIN COVENANTS. The closing of the purchase and sale of the Holding Company Stock (the “Closing”) shall occur at the offices of Buyer at 12.01 A.M. on April 1, 2007, or such other date as mutually agreed upon by Buyer and Sellers, subject in all respects to the fulfillment or waiver of the parties’ respective conditions to closing set forth in Section 7, or such other time and place as the parties may mutually agree (such date, the “Closing Date”).

In order to induce the Company to enter into this Agreement, and in consideration for the benefits received by the Executive pursuant to this Agreement, and other good and valuable consideration the receipt of which is hereby acknowledged, the Executive covenants and agrees as follows:
