Common use of Closing Certificates Clause in Contracts

Closing Certificates. (1) The Purchaser shall deliver to the Seller a certificate, dated the Closing Date, signed on behalf of the Purchaser by a senior executive officer thereof certifying to the effect that the conditions precedent to the Closing set forth in Section 5.01, Section 5.02(B) and Section 5.02(C) have been satisfied. (2) The Company shall deliver to the Seller a certificate, dated the Closing Date, signed on behalf of the Company by a senior executive officer thereof certifying to the effect that the conditions precedent to the Closing set forth in Section 5.02(A) have been satisfied.

Closing Certificates. (2) The Company shall deliver to the Seller a certificate, dated the Closing DateDate and validly executed by the Chief Executive Officer of Seller, signed on behalf of the Company by a senior executive officer thereof certifying that all conditions to the effect that the conditions precedent to the Closing set forth in this Section 5.02(A) 6 have been satisfied.satisfied 6.4

Closing Certificates.
