CLOSING CONDITIONS; CONDITIONS TO PURCHASE OF LESSOR NOTE. The obligations of the Owner Participant, the Owner Lessor, the Lessor Manager, the Lease Indenture Trustee, the Pass Through Trustee, and PPL Montana to consummate the Transaction on the Closing Date shall be subject to the following conditions (except that the obligations of any Person shall not be subject to such Person's own performance or compliance):
