Closing Date and Tranche 1-A Advance. The obligation of the Purchasers to make the Tranche 1-A Advance is subject to the fulfillment at or prior to the Closing, as provided below, of each of the following conditions, in each case, in a manner, form and substance reasonably satisfactory to the Purchasers:
