Closing Date Board Composition. On the Closing Date, the Company shall take the actions reasonably necessary such that as of the Closing Date the Board of Directors of the Company (the “Board”) shall consist of the seven directors as set forth on Schedule 1 hereto, which schedule also designates the remaining term of office of such director, of whom (i) two directors have been designated by the Shareholder Representative and (ii) five directors have been designated by the Company. Any such directors serving on the Board immediately prior to the Closing who are members of the Board as of the Closing Date pursuant to this Section 2.1(a) shall continue to be directors of the Board in the classes with remaining terms of service in which they are serving at such time, and any other Persons who are members of the Board pursuant to this Section 2.1(b) shall be so appointed or elected in accordance with the Governing Documents.
