Closing Date Opinion of Counsel to the Company. On the Closing Date, the Representative shall have received the favorable opinion of Sichenzia Rxxx Xxxxxxx LLP, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in the form attached hereto as Exhibit C.
Closing Date Opinion of Counsel to the Company. On the Closing Date and each Option Closing Date, if any, the Underwriter shall have received (i) the favorable opinion and negative assurance letter of Lucosky Xxxxxxxx LLP, counsel to the Company (“Company Counsel”), and (ii) the favorable opinion of Xxxxxxxxx Xxxxx & Xxxxx LLP (“IP Counsel”), in each case, dated the Closing Date and each Option Closing Date, as applicable, and addressed to the Underwriter in form and substance reasonably satisfactory to the Underwriter.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Underwriter shall have received the favorable opinion of Xxxxx Xxxxxxxxx, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Underwriter, in a form and substance reasonably satisfactory to the Underwriter.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Representative shall have received the favorable opinion of Morse, Zelnick, Rose & Lander, LLP, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in a form acceptable to the Representative.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Representative shall have received:
(i) the favorable opinion of Baker, Donelson, Bearman, Xxxxxxxx & Xxxxxxxxx, PC, and (ii) a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in a form reasonably acceptable to the Representative; and
(ii) Xxxx X. Xxxxxx, General Counsel to the Company, dated the Closing Date and addressed to the Representative, substantially in a form reasonably acceptable to the Representative.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Representative shall have received the favorable opinions of Geyra, Kxxxxx Xxxxxxx , special Israeli intellectual property counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in a form reasonably acceptable to the Representative.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Representative shall have received the favorable opinion of Baker, Donelson, Bearman, Cxxxxxxx & Bxxxxxxxx, PC, and (ii) a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in a form reasonably acceptable to the Representative.
Closing Date Opinion of Counsel to the Company. On the Closing Date and each Option Closing Date, if any, the Underwriter shall have received, the favorable opinion and negative assurance letter of K&L Gates LLP, counsel to the Company (“Company Counsel”), and (ii) the favorable opinion of Xxxx & Xxxx LLP (“IP Counsel”), in each case, dated the Closing Date and each Option Closing Date, as applicable, and addressed to the Underwriter in form and substance reasonably satisfactory to the Underwriter.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Representative shall have received the favorable opinion of Wxxxxx Bxxxxxxx Hxxxxxxxxx & Uxxxx, LLP, and special Nevada counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in a form acceptable to the Representative.
Closing Date Opinion of Counsel to the Company. On the Closing Date, the Underwriter shall have received the favorable opinion of Lxxxx X. Xxxxxxxxx, Esq., U.S. counsel to the Company as to matters of US. federal law and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Underwriter, in a form and substance reasonably satisfactory to the Underwriter. On the Closing Date, the Underwriter shall also have received the favorable opinion of Oxxx Xxxx Law Corporation, Canadian counsel to the Company as to matters of Canadian law dated the Closing Date and addressed to the Underwriter, in a form and substance reasonably satisfactory to the Underwriter.
