Common use of Closing Date Opinion of Israeli Counsel Clause in Contracts

Closing Date Opinion of Israeli Counsel. On the Closing Date, the Representative shall have received the favorable opinion of Zysman, Aharoni, Gxxxx and Co., Israeli counsel to the Company, dated the Closing Date and addressed to the Representative in the form and substance satisfactory to the Representative .

On the Closing Date, the Representative shall have received the favorable opinion of Zysman, Aharoni, Gxxxx and Co.Naschitz Xxxxxxx Xxxx, Israeli local counsel to the Company’s Israeli Subsidiary, dated the Closing Date and addressed to the Representative Representative, in the form and substance reasonably satisfactory to the Representative Representative.

On the Closing Date, the Representative shall have received the favorable opinion of Zysman, Aharoni, Gxxxx and Xxxxxxxx Xxxxxxxx & Co., Israeli counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative Representative, in the form and substance reasonably satisfactory to the Representative Representative.
