Common use of Closing Date Opinion of U.S. Counsel Clause in Contracts

Closing Date Opinion of U.S. Counsel. On the Closing Date, the Underwriter shall have received the favorable opinion and negative assurance letter of Zysman, Aharoni, Xxxxx and Xxxxxxxx & Worcester LLP, U.S. counsel to the Company, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter.

On the Closing Date, the Underwriter shall have received the favorable opinion and negative assurance letter of Zysman, Aharoni, Xxxxx and Txxxxxxx Pxxxxx Xxxxxxxx & Worcester Sxxxxxx LLP, special U.S. counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Underwriter, substantially in the form and substance reasonably satisfactory to the Underwriterof Exhibit D attached hereto.
