Common use of Closing Date Opinions of Counsel for the Company Clause in Contracts

Closing Date Opinions of Counsel for the Company. On the Closing Date, the Representative shall have received (i) the favorable opinion and negative assurance letter of Golenbock Exxxxxx Axxxx Bxxx & Pxxxxx LLP (“Company Counsel”), counsel to the Company as to law of the United States and of the State of New York, dated the Closing Date and addressed to the Representative as representative of the Underwriters, in the substantially the form of Exhibits D and E hereto, respectively and (ii) the opinion and negative assurance letter of Axxxxxxxx Xxxxxxx (“Scottish Counsel”), counsel for the Company as to the law of Scotland, dated the Closing Date and addressed to the Representative as representative of the Underwriters, substantially in the form of Exhibits E and F hereto.
