Closing Date Opinions of Counsel for the Company. On the Closing Date, the Representatives shall have received the favorable opinion and negative assurance letter of Xxxxxx, Xxxxxxx & Xxxx LLP (“Company Counsel”), counsel to the Company as to federal law of the United States of America, the law of the State of New York, and the Delaware General Corporation Law, dated the Closing Date and addressed to the Representatives as representatives of the Underwriters, each in form and substance reasonably satisfactory to the Representatives;
