Common use of Closing Date Opinions of Counsels Clause in Contracts

Closing Date Opinions of Counsels. On the Closing Date, the Representative shall have received the favorable opinions of Xxxxxxx & Xxxxxx L.L.C. as to Nevada legal matters and Xxxxxxxxxx PLLC as to certain other matters in form and substance reasonably satisfactory to Representative’s Counsel addressed to the Representative and stating that such opinions may be relied upon by Representative’s Counsel.

On the Closing Date, the Representative shall have received the favorable opinions of Xxxxxxx & Xxxxxx L.L.C. as to Bxxxxxxxxx PLLC, corporate counsel for the Company, Lxxxxxx + Hxxxxxx, A Prof. Law Corp., Nevada legal matters counsel for the Company, and Xxxxxxxxxx PLLC as to certain other matters Potomac Law Group, PLLC, tax counsel for the Company, in form and substance reasonably satisfactory to Representative’s Counsel addressed to the Representative and stating that such opinions may be relied upon by Representative’s Counsel.
