Closing Date Parent Balance Sheet. “Closing Date Parent Balance Sheet” shall have the meaning set forth in Section 1.13(c) of the Agreement. Closing Date Parent Transaction Expense Amount. “Closing Date Parent Transaction Expense Amount” shall mean all fees, costs and expenses of the legal advisors to Parent that have been incurred or that are incurred (whether prior to the date of the Agreement, during the Pre-Closing Period) by or on behalf of Parent relating directly or indirectly to, or arising from or in connection with, the transactions contemplated by the Agreement.
