Closing Date Refinancing and Releases. All documents and instruments required to (i) evidence the Closing Date Refinancing and Releases, (ii) confirm that the Transactions do not breach any provision of any of the GasCo Indentures or the GasCo Credit Agreement, including in the case of this clause (ii), a certificate of the chief financial officer or chief executive officer of GasCo to such effect, together with calculations in reasonable detail evidencing such compliance.
