Common use of Closing Deliveries by Seller to Buyer Clause in Contracts

Closing Deliveries by Seller to Buyer. At the Closing, Seller shall deliver, or cause to be delivered, to Buyer the following, each in form and substance reasonably satisfactory to Buyer: (a) An Assignment and Xxxx of Sale in the form attached hereto as Exhibit A; (b) An Assignment of Intangible Assets in the form attached hereto as Exhibit B; (c) Any other documentation reasonably required to fully vest title to the Assets in Buyer; and (d) A certificate, executed by Seller, dated as of the Closing, certifying that the conditions specified in Section 7.2 have been fulfilled.

Closing Deliveries by Seller to Buyer. At the Closing, Seller shall deliver, or cause to be delivered, to Buyer the following, each in form and substance reasonably satisfactory to Buyer: (a) An Assignment and Xxxx Bxxx of Sale in the form Sale, a copy of which is attached hereto as Exhibit A; (b) An Assignment of Intangible Assets in the form attached hereto as Exhibit B; (c) Any other documentation reasonably required to fully vest title to the Assets in Buyer; and (dc) A certificate, executed by Seller, dated as of the Closing, certifying that the conditions specified in Section 7.2 have been fulfilled.

Closing Deliveries by Seller to Buyer. At the Closing, Seller shall deliver, or cause to be delivered, to Buyer the following, each in form and substance reasonably satisfactory to Buyer: (a) An Assignment and Xxxx of Sale in the form attached hereto as Exhibit A; (b) An Assignment Sale, a copy of Intangible Assets in the form which is attached hereto as Exhibit B; (cb) Any other documentation reasonably required to fully vest title to the Assets in BuyerBuyer as well as all Assets; and (dc) A certificate, executed by Seller, dated as of the Closing, certifying that the conditions specified in Section 7.2 have been fulfilled.

Closing Deliveries by Seller to Buyer. At the Closing, Seller shall deliver, or cause to be delivered, to Buyer the following, each in form and substance reasonably satisfactory to Buyer: (a) An Assignment and Xxxx Bxxx of Sale in the form Sale, a copy of which is attached hereto as Exhibit AC; (b) An Assignment of Intangible Assets in the form Assets, a copy of which is attached hereto as attached as Exhibit BD; (c) Any other documentation reasonably required to fully vest title to the Assets in Buyer; and (d) A certificate, executed by Seller, dated as of the Closing, certifying that the conditions specified in Section 7.2 have been fulfilled.
