Common use of Closing Deliveries by the Purchaser Clause in Contracts

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver to the Seller: (a) the Closing Payment by wire transfer in immediately available funds to the Seller Bank Account; and (b) executed counterparts of each Ancillary Agreement to which the Purchaser is a party.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver to the SellerSellers: (a) the Closing Payment cash portion of Purchase Price by wire transfer in immediately available funds to the Seller Purchase Price Bank AccountAccounts; and (b) if applicable, duly executed counterparts Promissory Notes to the order of each Ancillary Agreement Seller receiving Promissory Notes in connection with the transactions contemplated hereby in principal amount equal to which the Purchaser is a partyportion of the Purchase Price payable in Promissory Notes.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver to the Seller: (a) the Closing Payment by wire transfer in immediately available funds to the Seller Bank Account; and; (b) executed counterparts of each Ancillary Agreement to which the Purchaser is a party; and (c) the certificate described in Section 7.3(c).

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver to the Seller: (a) the Closing Payment Purchase Price by check or wire transfer in immediately available funds to an account designated in writing by the Seller Bank AccountSeller; (b) a duly executed counterpart of the Xxxx of Sale; (c) a duly executed counterpart of the License Agreement; and (bd) if applicable, a duly executed counterparts of each Ancillary Agreement counterpart to which the Purchaser is a partySublease Agreement, together with the Sublease Deposit Amounts.
