Common use of Closing Deliveries by the Purchaser Clause in Contracts

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver to: (a) the Sellers the certificate referenced in Section 8.01(a)(iii); and (b) each Seller such Seller’s Owned Purchaser Share Amount by wire transfer of immediately available funds to the applicable Purchase Price Bank Account.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Company and the Seller: (a) the Sellers the certificate referenced in Section 8.01(a)(iii); and (b) each Seller such Seller’s Owned Purchaser Share Amount Subscription Shares Purchase Price by wire transfer of in immediately available funds to the applicable Company Bank Account; (b) the Purchased Shares Purchase Price by wire transfer in immediately available funds to the Seller Bank Account; (c) an executed counterpart of each of the Transaction Agreements to which the Purchaser is a party; and (d) the opinions, certificates and other documents required to be delivered pursuant to Section 8.01.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Seller: (a) the Sellers Closing Date Payment by wire transfer in immediately available funds to the Purchase Price Bank Account; (b) a certificate referenced of a duly authorized officer of the Purchaser certifying as to the matters set forth in Section 8.01(a)(iii8.01(a); and (bc) each Seller such Seller’s Owned Purchaser Share Amount by wire transfer of immediately available funds to the applicable Purchase Price Bank AccountInitial Allocation Statement.

Closing Deliveries by the Purchaser. At or prior to the Closing, the Purchaser shall deliver toto the Seller: (a) the Sellers the certificate referenced in Section 8.01(a)(iii); and (b) each Seller such Seller’s Owned Purchaser Share Amount Purchase Price by wire transfer of or transfers in immediately available funds to the applicable Purchase Price Bank AccountAccount(s); (b) executed counterparts of the Ancillary Agreements; (c) appropriate evidence of the satisfaction of the requirements of Section 5.08; and (d) the certificates and other documents required to be delivered pursuant to Section 8.01.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Seller: (a) the Sellers the certificate referenced in Section 8.01(a)(iii); and (b) each Seller such Seller’s Owned Purchaser Share Amount Closing Purchase Price by wire transfer of in immediately available funds to the applicable Purchase Price Bank Account; (b) an executed counterpart of the Transition Services Agreement; and (c) a certificate of a duly authorized officer of the Purchaser certifying as to the matters set forth in Sections 8.01(a)(i) and 8.01(a)(ii).

Closing Deliveries by the Purchaser. (a) At the Closing, the Purchaser shall deliver toto the Seller: (ai) the Sellers Purchase Price less the certificate referenced in Section 8.01(a)(iii); and (b) each Seller such Seller’s Owned Purchaser Share Escrow Amount by wire transfer of in immediately available funds to the applicable Purchase Price Bank Account; and (ii) the certificates and other documents required to be delivered pursuant to Section 5.01.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Sellers: (a) the Sellers the certificate referenced The Cash Payment as provided for in Section 8.01(a)(iii2.02(a), as adjusted, by wire transfer in immediately available funds to the Purchase Price Bank Account or as requested in writing by the Sellers; (b) The Note as provided for in Section 2.02(c); and (bc) each Seller such Seller’s Owned Purchaser Share Amount by wire transfer of immediately available funds The opinions, certificates and other documents required to the applicable Purchase Price Bank Accountbe delivered pursuant hereto.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Sellers: (a) the Purchase Price by wire transfer in immediately available funds to an account which shall be designated by the Sellers to the certificate referenced in Section 8.01(a)(iii)Purchaser; (b) the Assumption Agreement; and (bc) each Seller such Seller’s Owned Purchaser Share Amount by wire transfer of immediately available funds the certificates and other documents required to the applicable Purchase Price Bank Accountbe delivered pursuant to Section 8.01.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Seller: (a) the Sellers Closing Date Payment by wire transfer in immediately available funds to the Purchase Price Bank Account; (b) executed counterparts of (i) each Local Conveyance; and (ii) each other Transaction Document that is to be executed at the Closing and, in each case, to which a Purchaser Entity is a party; and (c) the certificate referenced in Section 8.01(a)(iii); and (b) each Seller such Seller’s Owned Purchaser Share Amount by wire transfer of immediately available funds to the applicable Purchase Price Bank Account.

Closing Deliveries by the Purchaser. At the Closing, the Purchaser shall deliver toto the Seller: (a) the Sellers Purchase Price by wire transfer in immediately available funds to the certificate referenced in Section 8.01(a)(iii)Purchase Price Bank Account; and (b) each Seller such Seller’s Owned Purchaser Share Amount by wire transfer of immediately available funds the certificates and other documents required to the applicable Purchase Price Bank Accountbe delivered pursuant to Section 7.01.

Closing Deliveries by the Purchaser.
