Common use of Closing Deliveries by the Sellers Clause in Contracts

Closing Deliveries by the Sellers. At the Closing, the Sellers shall deliver or cause to be delivered to the Purchaser: (a) stock certificates evidencing the Shares duly endorsed in blank, or accompanied by stock powers duly executed in blank, in form satisfactory to the Purchaser and with all required stock transfer tax stamps affixed; (b) the certificates, legal opinions and other documents required to be delivered pursuant to Section 8.03; and (c) a receipt for the Purchase Price (executed by the Sellers' Representative).

Closing Deliveries by the Sellers. At the Closing, the Sellers shall deliver or cause to be delivered to the PurchaserPurchasers: (a) stock certificates evidencing the Shares duly endorsed in blank, or accompanied by stock powers duly executed in blank, in form satisfactory to the Purchaser Purchasers and with all required stock transfer tax stamps affixed; (b) a receipt for the certificatespurchase price paid in respect of the Shares sold by such Seller; and (c) the opinions, legal opinions certificates and other documents required to be delivered pursuant to Section 8.03; and (c) a receipt for the Purchase Price (executed by the Sellers' Representative)7.02.

Closing Deliveries by the Sellers. At the Closing, the Sellers shall deliver or cause to be delivered to the Purchaser: (a) stock Stock certificates evidencing the Shares duly endorsed in blank, or accompanied by stock powers duly executed in blank, in form satisfactory satisfaction to the Purchaser and with all required stock transfer tax stamps affixedaffiliated, if applicable; (b) A receipt from the certificatesSellers; and (c) The opinions, legal opinions certificates and other documents required to be delivered pursuant to Section 8.03; and (c) a receipt for the Purchase Price (executed by the Sellers' Representative)hereto.

Closing Deliveries by the Sellers. At the Closing, the Sellers each Seller shall deliver or cause to be delivered to the Purchaser: (a) stock certificates evidencing the Shares duly endorsed in blank, or accompanied by stock powers duly executed in blank, in form satisfactory to the Purchaser and with all required stock transfer tax stamps affixed; (b) a receipt for the certificatesInitial Purchase Price; and (c) the opinion, legal opinions certificates and other documents required to be delivered by the Sellers pursuant to Section 8.03; and (c) a receipt for the Purchase Price (executed by the Sellers' Representative)6.02.

Closing Deliveries by the Sellers. At the Closing, the Sellers shall deliver or cause to be delivered to the Purchaser: Purchaser (ai) stock certificates evidencing the Shares duly endorsed in blank, or accompanied by stock powers duly executed in blank, in form satisfactory to the Purchaser and with all required stock transfer tax stamps affixed; , (b) the certificates, legal opinions and other documents required to be delivered pursuant to Section 8.03; and (cii) a receipt for the Purchase Price and (executed iii) all closing documents required to be delivered by the Sellers' Representative), Gentek, or Gentek Holdings pursuant to Section 7.03 that have not been delivered prior to the Closing.

Closing Deliveries by the Sellers. At the Closing, the Sellers shall deliver or cause to be delivered to each of the PurchaserPurchasers: (a) stock certificates evidencing the Shares being purchased by such Purchaser duly endorsed in blank, or accompanied by stock powers duly executed in blank, in form satisfactory to the Purchaser blank and with all required stock transfer tax stamps affixed; (b) the certificates, legal opinions and other documents required to be delivered pursuant to Section 8.03; and (cb) a receipt for the Purchase Price (executed in respect of the Shares being purchased by the Sellers' Representative)such Purchaser.
