Common use of Closing Deliveries of Pubco Clause in Contracts

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h) herein; and (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates other certificates, amendments and other documents required by Section 5.2 of this AgreementAgreement ; (c) all certificates, stock powers, and other documents required warrant certificates for the cancellation or consolidation of a sufficient amount of Selling Shareholders who are exchanging Priveco Warrants for Pubco common shares to comply with Section 5.2(h) herein; andWarrants; (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction; and (e) the resolutions required to effect the changes contemplated in Sections 6.10 and 6.11 of this Agreement.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount of 25,000,000 Pubco common shares to comply with Section 5.2(h5.2(f) herein; and (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h5.2(g) herein; and (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco and Merger Sub evidencing approval of this Agreement and the TransactionMerger; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, resolutions and other documents resignations required for to effect the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h) herein; andchanges in directors and officers stipulated by this Agreement; (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the TransactionMerger.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) documents evidencing the cancellation, satisfaction or transfer of all certificatespossible debt of Pubco, stock powers, and other documents required for the cancellation or consolidation as specified in Section 5.2(d) of a sufficient amount of Pubco common shares to comply with Section 5.2(h) herein; andthis Agreement; (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction; and (e) the resolutions required to effect the changes contemplated in Sections 6.11 and 6.12 of this Agreement.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for share certificates representing the cancellation or consolidation of a sufficient amount 20,500,000 shares of Pubco common shares to comply with Section 5.2(h) herein; andCommon Stock held by Xxxxx Xxxxxx, duly endorsed for transfer and cancellation; (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction; and (e) the resolutions required to effect the changes contemplated in Sections 6.10 of this Agreement.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount 30,000,000 shares of Pubco common shares to comply with Section 5.2(h) herein; andPubco; (d) resolutions required to effect the changes in officers stipulated by Section 6.10 of this Agreement; and (e) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the TransactionTransaction or any of the transactions contemplated in this Agreement; (b) physical share certificates, if issued, representing the Debtholder Shares and the Priveco Securities pursuant to Section 2.1 of this Agreement; (c) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h) herein; and (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the TransactionTransaction or any of the transactions contemplated in this Agreement.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 (m) of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h5.2(g) herein; and (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificatesshare certificates representing the 25,000,000 shares held by Xxxxxx Xxxxx, stock powers, duly endorsed for transfer and other documents required for the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h) herein; andcancellation; (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction; and (e) the resolutions required to effect the changes contemplated in Sections 6.10 of this Agreement.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificatesa certificate of an officer of Pubco, stock powersdated as of Closing, and other documents required for the cancellation or consolidation of a sufficient amount of Pubco common shares to comply with Section 5.2(h) herein; andcertifying that: (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.

Closing Deliveries of Pubco. At Closing, Pubco will deliver or cause to be delivered the following, fully executed and in the form and substance reasonably satisfactory to Priveco: (a) copies of all resolutions and/or consent actions adopted by or on behalf of the board of directors of Pubco evidencing approval of this Agreement and the Transaction; (b) all certificates and other documents required by Section 5.2 of this Agreement; (c) all certificates, stock powers, and other documents required for the cancellation or consolidation of a sufficient amount of 4,000,000 Pubco common shares to comply with Section 5.2(h5.2(f) herein; and (d) the Pubco Documents and any other necessary documents, each duly executed by Pubco, as required to give effect to the Transaction.
