Common use of Closing Deliveries of the Securityholders Clause in Contracts

Closing Deliveries of the Securityholders. At the Time of Closing, each Securityholders will cause to be delivered: (a) As applicable, with respect to each Shareholder, share certificates evidencing the Purchased Shares owned by such Shareholder, duly endorsed in blank for transfer or accompanied by duly executed stock transfer powers; (b) with respect to U.S. Securityholders, the U.S. Representation Letter attached hereto as Schedule “D”; and (c) if required by the CSE to be delivered by such Shareholder, an escrow agreement in a form satisfactory to the CSE, among the Purchaser, the Escrow Agent and such Shareholders as may be required by the CSE to be parties thereto, duly executed by such Shareholders.

At the Time of Closing, each Securityholders Securityholder will cause to be delivered: (a) As applicable, with respect to each Shareholder, share certificates evidencing the Purchased Shares owned by such Shareholder, duly endorsed in blank for transfer or accompanied by duly executed stock transfer powers; (b) with respect to U.S. Securityholders, the U.S. Representation Letter attached hereto as Schedule “D”; and (c) if required by the CSE to be delivered by such Shareholder, an escrow agreement in a form satisfactory to the CSE, among the Purchaser, the Escrow Agent and such Shareholders Securityholders as may be required by the CSE to be parties Parties thereto, duly executed by such ShareholdersSecurityholders.

At the Time of Closing, each Securityholders Securityholder will cause to be delivered: (a) As applicable, with respect to each ShareholderSecurityholder, share certificates or other evidence acceptable to the Acquiror acting reasonably, evidencing the Purchased Acquired Corporation Shares owned by such ShareholderSecurityholder, duly endorsed in blank for transfer or accompanied by duly executed stock transfer powers, if applicable; (b) with respect to U.S. Securityholders, the U.S. Representation Letter attached hereto as Schedule “D”; and (c) if required by the CSE to be delivered by such ShareholderSecurityholder, an escrow agreement in a form satisfactory to the CSE, among the PurchaserAcquiror, the Escrow Agent and such Shareholders Securityholder as may be required by the CSE to be parties thereto, duly executed by such ShareholdersSecurityholder.
