Common use of Closing Gaming Approvals Clause in Contracts

Closing Gaming Approvals. Buyer shall have obtained the Closing Gaming Approvals that Buyer and its Affiliates are required to obtain under applicable Gaming Laws in order to consummate the Closing and each of the foregoing Closing Gaming Approvals shall be in full force and effect at and as of the Closing Date.

Seller shall have obtained any approvals of Gaming Authorities that Seller and its Affiliates are required to obtain under applicable Gaming Laws in order to transfer the Purchased Assets to the applicable Buyer and otherwise consummate the Closing, and each of the foregoing approvals shall be in full force and effect at and as of the Closing Date.
