Closing of Taxable Period. Each of Purchaser and Sellers agree to cause the Company to file all appropriate Federal, state, local and foreign tax returns (the "Tax Returns") on the basis that the relevant taxable period ended as of the close of business on the Closing Date, unless the relevant taxing authority will not accept a Tax Return filed on that basis.
