Closing Price Per Share. The price per Share to be paid by Investor ("CLOSING PRICE") will be $4 per share. The yen conversion will be based upon 12 noon buying rates in New York on May 27, 2005 that is certified by the New York Federal Reserve Bank for customs purposes.
