Cluster Governance – Model Summary of Constitutional Arrangements. The Cluster Governance Committee (“CGC”) shall meet at least twice per year, or more frequently by agreement of the voting members. • The committee shall elect, by majority vote, a Chair and Vice-Chair from amongst the voting governor members, through self-nomination for the position unless otherwise agreed by the voting committee members. • Committee meetings shall be formally clerked, preferably by an independent clerk, i.e. not a clerk from any of the cluster schools, if possible. • Sub-committees or working groups can be established where appropriate to facilitate the work of the committee – these may be working groups of governors, of professional staff or a combination of both. • Every governing body in the cluster is entitled to have voting membership of the committee and each cluster school shall have one vote. • Voting members of the committee shall be named full members of the cluster governing bodies. • Each governing body shall name a substitute to attend meetings when the voting member is unable to attend. • The Headteacher of every other school in the cluster shall be a member of the committee unless s/he chooses not to be. The Centre manager of any constituent Children’s Centre will be a member of the committee. • Each Headteacher shall name a substitute to attend meetings in his or her absence. • The quorum for meetings shall be 50% of the voting governor members. • Decisions shall be made by majority vote. • Representative governors from Academies, Trust Schools or Interim Executive Boards shall be bound by general governance arrangements for Maintained, VC, VA or Foundation Schools. • Minutes of meetings will be distributed to individual governing bodies by individual voting members )

  • Shared Governance The parties shall develop a variety of shared governance models which schools may consider. Schools shall select a model that best suits their needs or the staff may develop an alternative model of governance with direct involvement by teachers, other staff and community representatives. Staff approval and commitment to the model is essential. The selected model of governance will be specifically described in each school's improvement plan.

  • Identification of Construction Documents The Design Professional shall identify the Construction Documents, which shall include, but are not limited to, the Specifications, the Drawings, and all Addenda. The Construction Documents are included within the Contract Documents.

  • Interpretation & Application of Guidelines It is jointly agreed that the site representatives (union and management) are empowered to implement the guidelines as per the scope provided. It is jointly agreed that refresher training to explain the interpretation and application of the inclement weather clauses is to be conducted to ensure correct use. Unless these guidelines are followed, the employer will not be required to pay for lost time through inclement weather and the Disputes Board will be so briefed.

  • Summary of Policy and Prohibitions on Procurement Lobbying Pursuant to State Finance Law §139-j and §139-k, this Contract includes and imposes certain restrictions on communications between OGS and a Vendor during the procurement process. A Vendor is restricted from making contacts from the earliest notice of intent to solicit offers/bids through final award and approval of the Procurement Contract by OGS and, if applicable, the Office of the State Comptroller (“restricted period”) to other than designated staff unless it is a contact that is included among certain statutory exceptions set forth in State Finance Law §139-j(3)(a). Designated staff, as of the date hereof, is identified in Appendix G, Contractor and OGS Information, or as otherwise indicated by OGS. OGS employees are also required to obtain certain information when contacted during the restricted period and make a determination of the responsibility of the Vendor pursuant to these two statutes. Certain findings of non-responsibility can result in rejection for contract award and in the event of two findings within a four-year period; the Vendor is debarred from obtaining governmental Procurement Contracts.   • Effect of Non-Agreement on Guidelines Applications The parties understand, acknowledge and agree that there are no agreements between the parties with respect to any Sentencing Guidelines issues other than those specifically listed in Paragraph 10, and its subsections. As to any other Guidelines issues, the parties are free to advocate their respective positions at the sentencing hearing.
