CMBS Entities Debt. Any CMBS Entity creates, incurs or assumes any Debt in excess of the principal amount of such CMBS Entity's Debt as of the Closing Date. An Event of Default shall be deemed "continuing" until cured or waived in writing in accordance with Section 11.4.
