Common use of Co-operation on Removal Clause in Contracts

Co-operation on Removal. If the General Partner is removed or replaced, the removed General Partner and the Fund Manager shall: 10.3.1 provide to the replacement General Partner (or such other Person as has been notified to the removed General Partner and the Fund Manager with the approval of a Majority in Interest) or the liquidator of the Fund, all books of accounts, records, registers and other documents belonging to the Fund; and 10.3.2 use its best efforts to transfer control of the Fund and all assets of the Fund to such replacement General Partner or other Person without delay.
