Common use of Co-Sale Obligations and Rights Clause in Contracts

Co-Sale Obligations and Rights. (a) If in the Co-Sale Notice the Selling Members elect to require each of the Non-Selling Members to participate in the proposed Transaction (the “Drag-Along Election”), upon delivery of the Co-Sale Notice, each Non-Selling Member shall be required to participate in such Transfer by Transferring Units on the same terms and conditions specified in the Co-Sale Notice (the “Co-Sale Obligation”).

(a) If in the Co-Sale Notice the Selling Class B Members elect to require each of the Non-Selling Members to participate in the proposed Transaction (the “Drag-Along Election”), upon delivery of the Co-Sale Notice, each Non-Selling Member shall be required to participate in such Transfer by Transferring Class B Units on the same terms and conditions specified in the Co-Sale Notice (the “Co-Sale Obligation”).
