Co-security Agent Sample Clauses
Co-security Agent. (a) The Facility Agent may appoint a separate security agent or a co-security agent in any jurisdiction outside the United States of America:
(i) if the Facility Agent considers that without the appointment the interests of the Lenders under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction.
(b) Any appointment under this Subclause will only be effective if the security agent or co security agent confirms to the Facility Agent and the Borrower in form and substance satisfactory to the Facility Agent that it is bound by the terms of this Agreement as if it were the Facility Agent.
(c) The Facility Agent may remove any security agent or co-security agent appointed by it and may appoint a new security agent or co-security agent in its place.
(d) The Borrower must pay to the Facility Agent any reasonable remuneration paid by the Facility Agent to any security agent or co-security agent appointed by it, together with any related costs and expenses properly incurred by the security agent or co-security agent.

(i) if the Security Agent reasonably considers that without the appointment the interests of the Lenders under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction.
(b) Any appointment under this Clause will only be effective if the security agent or co-security agent confirms to the Security Agent and the Borrower in form and substance satisfactory to the Security Agent that it is bound by the terms of this Agreement as if it were the Security Agent.
(c) The Security Agent may remove any security agent or co-security agent appointed by it and may appoint a new security agent or co-security agent in its place.
(d) The Borrower must pay to the Security Agent any reasonable remuneration paid by the Security Agent to any security agent or co-security agent appointed by it, together with any related costs and expenses properly incurred by the security agent or co-security agent.

Co-security Agent. (a) The Security Trustee may appoint a separate security agent or a co-security agent or co-security trustee in any jurisdiction outside the United States of America:
(i) if the Security Trustee considers that without the appointment the interests of the Lenders under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction.
(b) Any appointment under this Subclause will only be effective if the security agent or co-security agent or co-security trustee confirms to the Security Trustee and the Borrower in form and substance satisfactory to the Security Trustee that it is bound by the terms of this Agreement as if it were the Security Trustee.
(c) The Security Trustee may remove any security agent or co-security agent or co-security trustee appointed by it and may appoint a new security agent or co-security agent in its place.
(d) The Borrower must pay to the Security Trustee any reasonable remuneration paid by the Security Trustee to any security agent or co-security agent or co-security trustee appointed by it, together with any related costs and expenses properly incurred by the security agent or co-security agent or co-security trustee.
Co-security Agent. (a) The Facility Agent may appoint a separate security agent or a co-security agent in any jurisdiction outside the United States of America:
(i) if the Facility Agent considers that without the appointment the interests of the Lenders under the Finance Documents might be materially and adversely affected;
Co-security Agent. (a) The Facility Agent may appoint a separate security agent or a co-security agent in any jurisdiction:
(i) if the Facility Agent considers that without the appointment the interests of the Finance Parties under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction;
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction; or
(iv) if the Facility Agent considers it expedient to do so for the purpose of obtaining, maintaining or enforcing any Security Interest created by the Security Documents.
(b) Any appointment under this Clause will only be effective if the security agent or co-security agent confirms to the Facility Agent and the Borrower in form and substance reasonably satisfactory to the Facility Agent that it is bound by the terms of this Agreement as if it were the Facility Agent.
(c) The Facility Agent may remove any security agent or co-security agent appointed by it and may appoint a new security agent or co-security agent in its place.
(d) The Borrower must pay to the Facility Agent any reasonable remuneration paid by the Facility Agent to any separate security agent or co-security agent appointed by it, together with any related costs and expenses properly incurred by the separate security agent or co-security agent.
Co-security Agent. (a) The Security Agent may appoint a co-security agent in any jurisdiction outside the jurisdiction in which the Security Agent is incorporated:
(i) if the Security Agent considers that without the appointment the interests of the Finance Parties under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction.
(b) Any appointment under this Subclause will only be effective if the co-security agent confirms to the Security Agent and the Company in form and substance satisfactory to the Security Agent that it is bound by the terms of this Agreement as if it were the Security Agent.
(c) The Security Agent may remove any co-security agent appointed by it and may appoint a new co-security agent in its place.
(d) The Company must pay to the Security Agent any reasonable remuneration paid by the Security Agent to any co-security agent appointed by it, together with any related costs and expenses properly incurred by the co-security agent.
Co-security Agent. (a) The Facility Agent may appoint or delegate to a separate security agent, delegate security agent or a co-security agent in any jurisdiction outside England and Wales:
(i) if the Facility Agent considers that without the appointment the interests of the Lenders under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction.
(b) Any appointment or delegation under this Subclause will only be effective if the security agent, delegate security agent or co-security agent confirms to the Facility Agent and the Company in form and substance satisfactory to the Facility Agent that it is bound by the terms of this Agreement as if it were the Facility Agent.
(c) The Facility Agent may remove any security agent or co-security agent appointed by it and may appoint a new security agent or co-security agent in its place.
Co-security Agent. (a) The Security Agent may appoint a separate security agent or a co-security agent in any jurisdiction outside the Czech Republic:
(i) if the Facility Agent considers that without the appointment the interests of the Lenders under the Finance Documents might be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment or enforcing any Finance Document in any jurisdiction.
(b) Any appointment under this Subclause will only be effective if the security agent or co-security agent confirms to the Security Agent and the Borrower in form and substance satisfactory to the Security Agent that it is bound by the terms of this Agreement as if it were the Security Agent.
(c) The Security Agent may remove any security agent or co-security agent appointed by it and may appoint a new security agent or co-security agent in its place.
Co-security Agent. (a) The Security Agent may appoint a co-Security Agent:
(i) if, without such appointment, the interests of any Relevant Creditors under the Relevant Finance Documents would be materially and adversely affected;
(ii) for the purpose of complying with any law, regulation or other condition in any relevant jurisdiction; or
(iii) for the purpose of obtaining or enforcing a judgment against any Obligor or enforcing any Relevant Finance Document against any Obligor in any jurisdiction, provided that such appointment shall not impair the ranking of the Transaction Security created in favour of the Relevant Creditors or result in new hardening periods commencing in respect of it.
(b) Any appointment under this paragraph (b) will only be effective if the co-security agent confirms to the Security Agent and the Company in form and substance satisfactory to the Security Agent that it is bound by the terms of this Agreement as if it were the Security Agent.
(c) The Security Agent may remove any co-security agent appointed by it and may appoint a new co-security agent in its place.
(d) Each Obligor must pay to the Security Agent any reasonable and documented remuneration paid by the Security Agent to any co-security agent appointed by it, together with any related costs and expenses properly incurred by the co-security agent.
