CO-TRUSTEE AND SEPARATE TRUSTEES. At any time or times, for the purpose of meeting the legal requirements of any applicable jurisdiction, the Company and the Trustee shall have power to appoint, and, upon the written request of the Trustee or of the Holders of at least 33% in principal amount of the Securities then outstanding, the Company shall for such purpose join with the Trustee in the execution and delivery of all instruments and agreements necessary or proper to appoint, one or more Persons approved by the Trustee either to act as co-trustee, jointly with the Trustee, or to act as separate trustee, in either case with such powers as may be provided in the instrument of appointment, and to vest in such Person or Persons, in the capacity aforesaid, and for the benefit of the Holders, any property, title, right or power deemed necessary or desirable, subject to the other provisions of this Section. If the Company does not join in such appointment within 15 days after the receipt by it of a request so to do, or if an Event of Default shall have occurred and be continuing, the Trustee alone shall have power to make such appointment. Should any written instrument or instruments from the Company be required by any co-trustee or separate trustee to more fully confirm to such co-trustee or separate trustee such property, title, right or power, any and all such instruments shall, on request, be executed, acknowledged and delivered by the Company. Upon the written request of the Trustee, the Company shall join with the Trustee in the execution and delivery of all instruments and agreements necessary or proper to effectuate such resignation or removal. A successor to any co-trustee or separate trustee so resigned or removed may be appointed in the manner provided in this Section; (d) no co-trustee or separate trustee hereunder shall be personally liable by reason of any act or omission of the Trustee, or any other such trustee hereunder, and the Trustee shall not be personally liable by reason of any act or omission of any such co-trustee or separate trustee; (e) any act of Holders delivered to the Trustee shall be deemed to have been delivered to each such co-trustee and separate trustee; (f) any separate trustee or co-trustee may at any time appoint the Trustee as its agent or attorney-in-fact with full power and authority, to the extent not prohibited by law, to do any lawful act under or in respect of this Indenture on its behalf and in its name; and (g) if any separate trustee or co-trustee shall die, become incapable of acting, resign or be removed, all of its estates, properties, rights, remedies and trusts shall vest in and be exercised by the Trustee, to the extent permitted by law, without the appointment of a new successor trustee.

(c) no power given to, or which it is provided hereby, may be exercised by any such additional trustee hereunder, except jointly with, or with the Trustee at any time, by an instrument consent in writing executed by it, with the concurrence of the Company, may accept the resignation of or remove any co-trustee or separate trustee appointed under this Section, and, it an Event of Default shall have occurred and be continuing, the Trustee shall have power to accept the resignation of, or remove, any such co-trustee or separate trustee without the concurrence of the Company. Upon the written request of the Owner Trustee, the Company shall join with the Trustee in the execution and delivery of all instruments and agreements necessary or proper to effectuate such resignation or removal. A successor to any co-trustee or separate trustee so resigned or removed may be appointed in the manner provided in this Section;

In the event that Trustor shall not have executed any such instrument within 10 days after the receipt of Holders delivered a written request from Owner Trustee so to the do, Owner Trustee shall be deemed have the power to have been delivered to each remove any such co-additional trustee without the concurrence of Trustor; and separate trustee;
(f) any separate trustee or co-trustee may at any time appoint the Trustor hereby appoints Owner Trustee as its agent or and attorney-in-fact with full power and authority, to the extent not prohibited by law, to do any lawful act under or for it in respect of this Indenture on its behalf and such connection in its namesuch contingency; and
(gf) if no appointment of, or action by, any separate additional trustee or co-trustee shall die, become incapable will relieve the Owner Trustee of acting, resign or be removed, all any of its estatesobligations under, propertiesor otherwise affect any of the terms of, rights, remedies and trusts shall vest in and be exercised by the Trustee, to the extent permitted by law, without the appointment of a new successor trusteethis Agreement or any Lease.

(bii) the rights, powers, duties duties, obligations and obligations indemnities hereby conferred or imposed upon the Trustee in respect of any property covered by such appointment shall be conferred or imposed upon and exercised or performed either by the Trustee or by the Trustee and such coCo-trustee Trustee or separate trustee jointly, as shall be provided in the instrument appointing such coCo-trustee Trustee or separate trustee, except to the extent that under any law of any jurisdiction in which any particular act is to be performed, the Trustee shall be incompetent or unqualified to perform such act, in which event such rights, powers, duties and obligations shall be exercised and performed singly by such coCo-trustee Trustee or separate trustee;; and

Upon the written request of the Trustee, the Company shall join with the Trustee in the execution and delivery of all instruments and agreements necessary or proper to effectuate such resignation or removal. A successor to any co-trustee or separate trustee so resigned or removed may be appointed in the manner provided in this Section;
(d) no Section;no co-trustee or separate trustee hereunder shall be personally liable by reason of any act or omission of the Trustee, or any other such trustee hereunder, and the Trustee shall not be personally liable by reason of any act or omission of any such co-trustee or separate trustee;

(b) Every separate trustee to more fully confirm to such and co-trustee or separate trustee such property, title, right or power, any and all such instruments shall, on request, be executed, acknowledged and delivered by the Company. Every co-trustee or separate trustee shall, to the extent permitted by law, but to such extent only, be appointed and act subject to the following provisions and conditions:
(ai) the Securities shall be authenticated and delivered, and all rights, powers, duties and obligations hereunder in respect of the custody of securities, cash and other personal property held by, or required to be deposited or pledged with, the Trustee hereunder, shall be exercised solely, by the Trustee;
(b) the rights, powers, duties and obligations hereby conferred or imposed upon the Trustee in respect of any property covered by such appointment shall be conferred or imposed upon and exercised or performed either by the Trustee or by the Trustee and such separate trustee or co-trustee or jointly (it being understood that such separate trustee jointly, as shall be provided in the instrument appointing such or co-trustee or separate trusteeis not authorized to act separately without the Trustee joining in such act), except to the extent that under any law of any jurisdiction in which any particular act is or acts are to be performed, performed the Trustee shall be incompetent or unqualified to perform such actact or acts, in which event such rights, powers, duties and obligations (including the holding of the collateral or any portion thereof in any such jurisdiction) shall be exercised and performed singly by such separate trustee or co-trustee or separate trustee, but solely at the direction of the Trustee;
(cii) neither the Trustee at nor any time, by an instrument in writing executed by it, with the concurrence of the Company, may accept the resignation of or remove any co-trustee or separate trustee appointed under this Section, and, it an Event of Default shall have occurred and be continuing, the Trustee shall have power to accept the resignation of, or remove, any such co-trustee or separate trustee without the concurrence of the Company. Upon the written request of the Trustee, the Company shall join with the Trustee in the execution and delivery of all instruments and agreements necessary or proper to effectuate such resignation or removal. A successor to any co-trustee or separate trustee so resigned or removed may be appointed in the manner provided in this Section;
(d) no co-trustee or separate trustee hereunder shall be personally liable by reason of any act or omission of the Trustee, or any other such trustee hereundertrustee, and the Trustee shall not be personally liable by reason of any act or omission of any such co-trustee or separate trustee;trustee hereunder; and
(eiii) the Trustee may at any act time accept the resignation of Holders delivered or remove any separate trustee or co-trustee.
(c) Any notice, request or other writing given to the Trustee shall be deemed to have been delivered given to each such of the then separate trustees and co-trustee and separate trustee;
(f) any separate trustee or co-trustee may at any time appoint the Trustee trustees, as its agent or attorney-in-fact with full power and authority, effectively as if given to the extent not prohibited by law, to do any lawful act under or in respect each of this Indenture on its behalf and in its name; and
(g) if them. Every instrument appointing any separate trustee or co-trustee shall dierefer to this indenture and the conditions of this Article Seven. (b) the rights, powers, duties and obligations hereby conferred or imposed upon the Owner Trustee in respect of any property covered by such appointment shall be conferred or imposed upon and exercised or performed either by the Trustee or by the Owner Trustee and such co-additional trustee or separate trustee (U.S. citizen) jointly, as shall be provided in the instrument appointing such co-trustee or separate trustee, except to the extent that under any law of any jurisdiction in which any particular act is or acts are to be performed, performed (including the holding of title to the Trust Estate) Owner Trustee shall be incompetent or unqualified to perform such actact or acts, in which event such rights, powers, duties and obligations shall be exercised and performed singly by such co-trustee or separate additional trustee;
(c) the Trustee at any time, by an instrument in writing executed by it, with the concurrence of the Company, may accept the resignation of or remove any co-trustee or separate trustee appointed under this Section, and, it an Event of Default shall have occurred and be continuing, the Trustee shall have no power to accept the resignation ofgiven to, or removewhich it is provided hereby may be exercised by, any such co-additional trustee shall be exercised hereunder by such additional trustee, except jointly with, or separate trustee without the concurrence of the Company. Upon the written request of the Trustee, the Company shall join with the Trustee consent in the execution and delivery of all instruments and agreements necessary or proper to effectuate such resignation or removal. A successor to any co-trustee or separate trustee so resigned or removed may be appointed in the manner provided in this Sectionwriting of, Owner Trustee;

(e) Owner Participant, at any act time, by an instrument in writing may remove any such additional trustee. In the event that Owner Participant shall not have executed any such instrument within 10 days after the receipt of Holders delivered a written request from Owner Trustee so to the do, Owner Trustee shall be deemed have the power to have been delivered to each remove any such co-additional trustee without the concurrence of Owner Participant; and separate trustee;
(f) any separate trustee or co-trustee may at any time appoint the Owner Participant hereby appoints Owner Trustee as its agent or and attorney-in-fact with full power and authority, to the extent not prohibited by law, to do any lawful act under or for it in respect of this Indenture on its behalf and such connection in its namesuch contingency; and
(gf) if no appointment of, or action by, any separate additional trustee or co-trustee shall die, become incapable will relieve the Owner Trustee of acting, resign or be removed, all any of its estatesobligations under, propertiesor otherwise affect any of the terms of, rights, remedies and trusts shall vest in and be exercised by the Trustee, to the extent permitted by law, without the appointment of a new successor trusteethis Agreement or any Lease.
