Code Section 409A Compliance. To the extent that the provisions of Section 409A of the Code or any U.S. Department of the Treasury regulations promulgated thereunder are applicable to any Restricted Stock Unit or Dividend Equivalent, the parties intend that this Agreement will meet the requirements of such Code section and regulations and that the provisions hereof will be interpreted in a manner that is consistent with such intent. If, however, the Grantee is liable for the payment of any tax, penalty or interest pursuant to Section 409A of the Code, or any successor or like provision (the “409A Tax”), with respect to this Agreement any payments or property transfers received or to be received under this Agreement or otherwise, the Company will pay the Grantee an amount (the “Special Reimbursement”) which, after payment to the Grantee (or on the Grantee’s behalf) of any federal, state and local taxes, including, without limitation, any further tax, penalty or interest under Section 409A of the Code, with respect to or resulting from the Special Reimbursement, equals the net amount of the 409A Tax. Any payment due to the Grantee under this Section will be made to the Grantee, or on behalf of the Grantee, as soon as practicable after the determination of the amount of such payment, but no sooner than the date on which the Company is required to withhold such amount or the Grantee is required to pay such amount to the Internal Revenue Service. Notwithstanding the foregoing, all payments under this Section will be made to the Grantee, or on the Grantee’s behalf, no later than the end of the calendar year immediately following the calendar year in which the Grantee or the Company paid the related taxes, interest or penalties. (b) To the extent that any payments or benefits under this Employment Agreement are contingent upon Employee signing, returning and not revoking a General Release, and the time designated for signing and returning the General Release and any revocation period (not to exceed 7 days) crosses calendar years, payments contingent upon the General Release will be made in the later calendar year. Any payments contingent upon the General Release that would otherwise be made during the period for review and revocation of the General Release will be made, provided that the General Release is timely executed and returned to the Company and not revoked, on the first scheduled payment date after such period ends. Each payment in respect of the termination of Employee’s employment under Section 5(e) of this Employment Agreement is designated as a separate payment for Section 409A purposes.
(c) If Employee is designated as a “specified employee” within the meaning of Code Section 409A (while the Company or a parent or affiliate of the Company is publicly traded on any securities market), any deferred compensation payment subject to Section 409A to be made during the six-month period following the date of Employee’s separation from service will be withheld and the amount of the payments withheld will be paid in a lump sum, without interest, during the seventh month after Employee’s separation from service; provided, however, that if Employee dies prior to the expiration of such six-month period, payment to Employee’s beneficiary will be made as soon as reasonably practicable following Employee’s death. The Company will identify in writing delivered to Employee any payments it reasonably determines are subject to delay under this Section 6(c). In no event will the Company have any liability or obligation with respect to taxes for which Employee may become liable as a result of the application of Code Section 409A.

Code Section 409A Compliance. This Performance Award Agreement is intended to comply with the requirements of Code Section 409A and any right or benefit which is provided pursuant to or in connection with this Performance Award Agreement which is considered to be nonqualified deferred compensation subject to Code Section 409A (referred to as a “409A Award”) shall be provided and paid in a manner, and at such time and in such form, as complies with the applicable requirements of Code Section 409A to avoid the unfavorable tax consequences provided therein for non-compliance. Code Section 409A Compliance. To (i) This Agreement is intended to comply with, or otherwise be exempt from, Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”) and any regulations and Treasury guidance promulgated thereunder.
(ii) The Company shall undertake to administer, interpret, and construe this Agreement in a manner that does not result in the imposition on the Executive of any additional tax, penalty, or interest under Section 409A of the Code.
(iii) If the Company determines in good faith that any provision of this Agreement would cause the Executive to incur an additional tax, penalty, or interest under Section 409A of the Code, the Compensation Committee and the Executive shall use reasonable efforts to reform such provision, if possible, in a mutually agreeable fashion to maintain to the maximum extent that practicable the original intent of the applicable provision without violating the provisions of Section 409A of the Code or any U.S. Department of causing the Treasury regulations promulgated thereunder are applicable to any Restricted Stock Unit or Dividend Equivalent, the parties intend that this Agreement will meet the requirements imposition of such Code section and regulations and that the provisions hereof will be interpreted in a manner that is consistent with such intent. If, however, the Grantee is liable for the payment of any additional tax, penalty penalty, or interest pursuant to under Section 409A of the Code.
(iv) The preceding provisions, or however, shall not be construed as a guarantee by the Company of any successor or like provision (the “409A Tax”), with respect particular tax effect to this Agreement any payments or property transfers received or to be received Executive under this Agreement Agreement. The Company shall not be liable to Executive for any payment made under this Agreement, at the direction or otherwisewith the consent of Executive, the Company will pay the Grantee that is determined to result in an amount (the “Special Reimbursement”) which, after payment to the Grantee (or on the Grantee’s behalf) of any federal, state and local taxes, including, without limitation, any further additional tax, penalty penalty, or interest under Section 409A of the Code, with nor for reporting in good faith any payment made under this Agreement as an amount includible in gross income under Section 409A of the Code.
(v) For purposes of Section 409A of the Code, the right to a series of installment payments under this Agreement shall be treated as a right to a series of separate payments.
(vi) With respect to any reimbursement of expenses of, or resulting from any provision of in-kind benefits to, the Special ReimbursementExecutive, equals the net amount as specified under this Agreement, such reimbursement of the 409A Tax. Any payment due expenses or provision of in-kind benefits shall be subject to the Grantee under this Section will be made to following conditions: (A) the Grantee, expenses eligible for reimbursement or on behalf of the Grantee, as soon as practicable after the determination of the amount of such payment, but no sooner than in-kind benefits provided in one taxable year shall not affect the date on which the Company is required to withhold such amount expenses eligible for reimbursement or the Grantee is required amount of in-kind benefits provided in any other taxable year, except for any medical reimbursement arrangement providing for the reimbursement of expenses referred to pay such amount to in Section 105(b) of the Internal Revenue Service. Notwithstanding Code; (B) the foregoing, all payments under this Section will reimbursement of an eligible expense shall be made to the Grantee, or on the Grantee’s behalf, no later than the end of the calendar year immediately following after the calendar year in which such expense was incurred; and (C) the Grantee right to reimbursement or the Company paid the related taxesin-kind benefits shall not be subject to liquidation or exchange for another benefit.
(vii) “Termination of employment,” “resignation,” or words of similar import, interest or penalties. The Grantee will cooperate with the Company as used in taking such actions as the Company may reasonably request to assure that this Agreement will meet the requirements means, for purposes of any payments under this Agreement that are payments of deferred compensation subject to Section 409A of the Code and any U.S. Department Code, the Executive’s “separation from service” as defined in Section 409A of the Treasury regulations promulgated thereunder and to limit Code.
(viii) If a payment obligation under this Agreement arises on account of the amount of any additional payments required by this Section to be made to Executive’s separation from service while the Grantee. The Company represents and warrants that the Restricted Stock Units satisfy all requirements Executive is a “specified employee” (as defined under Section 409A of the Code and determined in good faith by the Compensation Committee), any U.S. Department payment of “deferred compensation” (as defined under Treasury Regulation Section 1.409A-1(b)(1), after giving effect to the exemptions in Treasury Regulation Sections 1.409A-1(b)(3) through (b)(12)) that is scheduled to be paid within six months after such separation from service (the aggregate of such scheduled payments, the “Delayed Payment”) shall, in lieu thereof, be paid, as adjusted for earnings or losses thereon, within 15 days after the end of the Treasury regulations promulgated thereunder six-month period beginning on the date of such separation from service or, if earlier, within 15 days after the appointment of the personal representative or executor of the Executive’s estate following his death. In the event that the Restricted Stock Units are exempt from or compliant provisions of this Section 11(l)(viii) shall apply to any payment obligation under this Agreement, and provided that the Executive executes a general release as the Company may request, the Company shall make an irrevocable contribution of an amount equal to the Delayed Payment to a grantor trust established consistent with the terms of Revenue Procedure 92-64, 1992-33 I.R.B. 11 (the “Rabbi Trust”) with a financial institution approved by the Executive, which approval will not be withheld unreasonably, serving as the third-party trustee thereof, under the terms of which the assets of the trust may be used, in the absence of the Company’s insolvency, solely for purposes of fulfilling the Company’s obligation to pay the Delayed Payment to the Executive in compliance with Section 409A 409A(a)(2)(B)(i) of the Code. The Company’s obligation to make the contribution to the Rabbi Trust under the immediately preceding sentence shall arise on the due date of the payment obligation had this Section 11(l)(viii) not applied or, if later, the date that any general release becomes effective, and such contribution shall be made by no later than the tenth business day (excluding federal holidays) after the applicable date. The Executive shall be permitted to direct the trustee how to invest the trust assets held on the Executive’s behalf.
5. In all other respects, the Employment Agreement is hereby ratified and confirmed.

Any payment due to the Grantee under this Section will be made to the Grantee, or on behalf of the Grantee, as soon as practicable after the determination of the amount of such payment, but no sooner than the date on which the Company is required to withhold such amount or the Grantee is required to pay such amount to the Internal Revenue Service. Notwithstanding the foregoing, all payments under this Section will be made to the Grantee, or on the Grantee’s behalf, no later than the end of the calendar year immediately following the calendar year in which the Grantee or the Company paid the related 8 taxes, interest or penalties. The Grantee will cooperate with the Company in taking such actions as the Company may reasonably request to assure that this Agreement will meet the requirements of Section 409A of the Code and any U.S. Department of the Treasury regulations promulgated thereunder and to limit the amount of any additional payments required by this Section to be made to the Grantee. The Company represents and warrants that the Restricted Stock Units satisfy all requirements under Section 409A of the Code and any U.S. Department of the Treasury regulations promulgated thereunder such that the Restricted Stock Units are exempt from or compliant with Section 409A of the Code.
